By using Wonderfully Made Sites’ services, you agree to these terms.
1. Services Provided
We provide:
– Website design and development
– WordPress setup and configuration
– Basic SEO optimization
– Website training and documentation
– Technical support as specified in contracts
– Optional maintenance services
All specific project details, timelines, and deliverables are outlined in individual project contracts.
2. Payment Terms
Project Payments:
– 50% deposit required before work begins
– Final payment due before website launch
– Payment plans available for packages over $1,000 (must be specified in writing)
– Late payments subject to 1.5% monthly service charge
Accepted Payment Methods: Check, PayPal, Stripe
Refunds: Deposits are non-refundable. Final payments refundable only if we fail to deliver agreed-upon services.
3. Project Scope & Revisions
Included Work: As specified in individual project contracts
Revisions: Limited to number specified in your package (typically 1-3 rounds)
Additional Work: Changes beyond original scope require written approval and additional payment at $85/hour
Timeline: Project timelines depend on timely client feedback and content delivery
4. Client Responsibilities
You agree to:
– Provide content, images, and materials in timely manner
– Respond to requests for feedback within 5 business days
– Ensure all provided content is legally owned or licensed
– Maintain backup copies of your website
– keep login credentials secure
5. Intellectual Property
Your Content: Your retain ownership of all content, images, and materials you provide
Your Website: Upon full payment, you own the completed website
Our Work Product: We retain rights to our design methods, code frameworks, templates, and general techniques
Portfolio Rights: We may display your completed website in our portfolio and marketing materials
6. Website Hosting & Maintenance
Hosting: You are responsible for your own web hosting and domain registration unless otherwise agreed upon in writing
Ongoing Maintenance: Optional maintenance plans available separately
Technical support: limited post-launch support included as specified in your package
Updates: You are responsible for WordPress core, theme, and plugin updates unless under maintenance plan
7. Warranties & Disclaimers
Our Warranties:
– Work will be performed professionally and meet industry standards
– Websites will function properly in current major browsers
– Code will be clean and documented
DISCLAIMERS:
– WE DO NOT GUARANTEE SPECIFIC BUSINESS RESULTS, TRAFFIC, SALES, OR SEARCH ENGINE RANKINGS
– WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES (HOSTING, PLUGINS, ETC.)
– WEBSITES ARE PROVIDED “AS IS” AFTER PROJECT COMPLETION
8. Limitation of Liability
Maximum Liability: Our total liability is limited to the amount you paid for our services
Excluded Damages: We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption
Third-Party Claims: You agree to indemnify us against claims related to content you provide
9. Confidentiality
Your Information: We will not share your confidential business information with third parties
Our Methods: You agree not to share our proprietary design methods or business processes
Duration: Confidentiality obligations survive project completion
10. Termination
By You: 10 days written notice required. You pay for work completed plus 20% cancellation fee
By Us: We may terminate for non-payment or breach of contract with 10 days notice
Effect of Termination: You receive work completed to date upon payment of all amounts due
11. Force Majeure
neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, government actions, or technical failures
12. Dispute Resolution
Governing Law: These terms are governed by Virginia state law
Disputes: We agree to attempt resolution through good faith negotiation first
Legal Action: Any legal proceedings must be filed in Virginia courts
Attorney Fees: Prevailing party in legal disputes entitled to reasonable attorney fees
13. General Terms
Entire Agreement: These terms, together with your project contract, constitute the complete agreement
Modifications: Changes must be in writing and signed by both parties
Severability: If any provision is invalid, the remainder stays in effect
Assignment: You may not transfer these terms without our written consent
